1. Basic terms

By clicking "ACCEPT", you will navigate on the official website of Better Social AG (the "Website"), a site allowing performers ("Performers") to offer their services to interested people (the "Users"). The Website promotes the services rendered by the Performers and offers them a platform for delivering their services. Performers do not work with or for the Website operator.

By clicking "ACCEPT", you accept the present terms of use of this Website (the "Terms of Use").

This Website is restricted to persons who are not minors in the country of the connection (e.g. if connecting in Switzerland, persons who are over 18 (eighteen) years). You confirm by clicking "ACCEPT" that you are not a minor (as defined above).

By clicking "ACCEPT", your IP address will be recorded. If another User later connects to the Website using the same IP address, such other User will not be asked again to accept these Terms of Use. In the sense of art. 111 of the Swiss Code of Obligations, you certify that any User logging on to the Website using the same IP address as your own complies with these Terms of Use.

The terms outlined below apply to the use of the Website, including without limitation the contractual relationship between the company operating the Website (the "Company") and Users when they become a Member of the site (as defined in section 3 below), as well as how information of Users or Members are used. The provisions governing the contractual relationship between Performers and the Company are expressly reserved. These Terms of Use are subject to change at any time without notice and become applicable upon publication on the Website. Whenever a change occurs, you must confirm your acceptance of the new Terms of Use by clicking "ACCEPT" again.

You acknowledge that the identity of your contracting party does not matter to you pursuant to Art. 32 par. 2 of the Swiss Code of Obligations.

2. Code of conduct

  1. Be kind, polite, and respectful to the Performers and other Users.
  2. You will always comply with applicable laws.
  3. You are the only person allowed to use your account and you are prohibited to share your account details (username and password) with anyone else.
  4. Never take a screenshot or record another User.
  5. You may not start a chat naked. You are allowed to appear sexy (e.g. underwear for men and lingerie for women) but you must have the consent of the person you are chatting with before you undress.
  6. Always be in front of the camera and responsive when you are online. Please feel free to not show your face if it makes you feel more comfortable.
  7. Only offer and accept payments via this Website. Don't share contact details or connect on other platforms, social media, etc.

3. Members and Performers

A User may apply to become a Member by filling in the Member's Application Form. The application will be programmatically reviewed and accepted by email, unless the Company, at its sole discretion, decides to reject it for whatever reason.

A User may apply to become a Performer by completing the Performer's Acceptance Procedure.

After having elected to start chatting, a Member will be continuously and randomly selected to the next available Performer. A Member may choose to remain connected to his conversation Performer, or he can skip and he will be connected to another Performer.

4. Conversation and Talk Time

In order to chat with a Performer, Members must buy Coins. A Coin is pegged to USD at the rate of 1000 Coins = 1 USD. A discount will be granted for buying Coins in bulk. Coins are not refundable.

The Company maintains a detailed transaction log, which shows the constituent transactions of each Member's Coin balance.

Each Member has an assigned rate of Coins per second (the "Talk Time Rate"), which may vary for a variety of reasons (incl. quantity of coins purchased).

Members can be either "On Trial Members" or "Paying Members". An On Trial Member is a person who is using the free Coins that are provided to new Members allowing them to try the platform. A "Paying Member" is a Member who has purchased Coins and is using them to remunerate Performers, through the Website, for their performance.

As soon as the Member can see the Performer and vice versa (the "Connection"), the talk time will start.

When an On Trial Member connects to a Performer (the "Establishment"), he is charged a non-refundable establishment fee, equivalent to 5 seconds at his Talk Time Rate (the "Establishment Fee"). Either the On Trial Member or the Performer may choose to skip during Establishment.

In that event, the On Trial Member will be connected to another Performer and he will be charged another Establishment Fee. If an On Trial Member remains connected to a Performer for more than 5 seconds, he will be charged for the additional connection time at his applicable Talk Time Rate.

Paying Members are not charged an Establishment Fee. As from Connection, a Paying Member will pay the Performer at his applicable Talk Time Rate for the time he remains connected to the Performer.

5. Monitoring

The Company will actively police the Website for inappropriate use. For that purpose, the Company may take all measures it deems appropriate, including, without limitation: (a) incognito human moderators, who will review Performers and Members behaviour and check for anomalous or inappropriate behaviour; and (b) community moderation, by asking Performers and Members to report inappropriate behaviour which will then be followed-up.

If a User is in breach of its obligations or has adopted an inappropriate behavior (an "Offender"), the Company may exercise its rights and/or take action against the Offender, such as a warning, a temporary suspension, a permanent suspension, or any other action deemed appropriate considering the severity of the situation.

6. Intellectual property rights and other rights

The Company is the owner and operator of this Website. The brands, names, titles, logos, photographs, drawings, text and other elements contained therein, for example Bettermates, are all owned by the Company and its shareholders or contractual partners. The on-screen display, downloading or copying of pages on the Website do not give rise to any rights (such as rights of use, intellectual property rights, etc.). The reproduction (complete or in part), transmission (electronically or by other means), modification and/or use of the Website for purposes of publication or for any commercial purposes is not permitted without prior written consent of the Company.

7. Disclaimer

The Company disclaims any responsibility (except in case of willful act or gross negligence) that may arise from accessing or respectively the inability to access all or part of the Website, or from any use that may be made of the site. Access to the Website and its availability for use are not guaranteed.

The Website may contain links to third party sites that are not operated or monitored by the Company. Thus, the Company disclaims any responsibility for the contents of any such site. This disclaimer also applies to compliance with legal provisions on data protection by the operators of such external sites.

8. Data transfer via the Internet

The Internet is a public network and is not secure. In addition, it is possible - even if the sender and recipient are both located in Switzerland - that data passes through foreign countries with a lower level of security than that of Switzerland. Accordingly, the Company disclaims any responsibility for the security of data during transmission via the Internet, except for gross negligence or willful misconduct.

9. Collection and use of information

When a visitor accesses the Website, various information may be recorded (e.g. the visitor's IP address, the date and time of access, the name of the file or page accessed, etc.). Your personal data ("Personal Data") may only be used for purely statistical purposes within the limits described in these Terms of Use.

The Company will use appropriate security systems to protect your Personal Data from foreseeable risks. It is sometimes necessary to call upon external service providers to better serve the Users. In these cases, the Company may disclose Personal Data to these third parties so that they are able to fulfill their tasks. To prevent abuse, such third parties will be requested to commit to keep Personal Data confidential. The Company may have to communicate Personal Data, if legally required, or ordered by a judicial or administrative authority.

10. Breach and Indemnification

In case of breach of any of your obligations under these Terms of Use, you will have to pay to the Company a penalty in the amount of 1 million Coins for each instance of violation. Payment of the penalty shall not discharge you from complying with your obligations pursuant to this clause. In addition to the payment of the penalty and any further damages the Company may have incurred as a result of the breach, the Company shall have the right to request that you cease and desist from any prohibited activities and to apply to the courts for injunctive relief.

11. Cookies

Every access to the Website may result in recording a small file (a "Cookie") on the computer of the User. Cookies will be used exclusively for the establishment of an anonymous survey of the number of page visits and the recognition of the User as part of the acceptance of these Terms of Use.

12. Assignment

The Company may assign all or part of its rights and obligations under these Terms of Use to any third party.

13. Applicable law and jurisdiction

Swiss law is applicable. Any dispute arising out of or in connection with the Website shall be submitted to the exclusive jurisdiction of the courts of the Canton of Zug, Switzerland, an appeal before the Swiss Supreme Court being reserved.
